Terms and Conditions
1. Applicability and Definitions
1.1. These terms and conditions apply to all services provided by Backlinksshop.eu. These terms form an integral part of the services between Backlinksshop.eu and the client.
1.2. Backlinksshop.eu reserves the right to unilaterally amend these terms. Any changes to the terms also apply to existing services of Backlinksshop.eu. By ordering new services, renewals, and/or replacements, the client is deemed to have accepted these terms.
1.3. Deviations from these terms are only valid if agreed upon in writing. Deviations are only considered accepted once Backlinksshop.eu has confirmed them in writing.
1.4. Backlinksshop.eu explicitly rejects any (general) terms and conditions used by the client.
1.5. The following definitions apply in these terms:
a. Offer: a proposal to use the services at a specified rate.
b. Services: the platform offered by Backlinksshop.eu on http://www.backlinksshop.eu on which the client can order and place links and advertisements.
c. Backlinksshop.eu: located in Kerkrade and registered with the Chamber of Commerce under number 83532145.
d. Quotation: a personalized proposal to use the services at a rate specified in the quotation.
e. Client: the consumer and/or legal entity purchasing services from Backlinksshop.eu.
f. Terms: these general terms and conditions.
2. Offer and Formation
2.1. Services from Backlinksshop.eu are offered on the website/platform http://www.backlinksshop.eu, by email and/or advertisements.
2.2. Communications of Backlinksshop.eu as mentioned in article 2.1 regarding services constitute a non-binding offer and are subject to change.
2.3. Upon request, Backlinksshop.eu may issue a written quotation for services.
2.4. The quotation is valid for the period stated in the quotation. If no period is stated, the quotation is valid for fourteen (14) days.
2.5. Services are established by:
a. Payment by the client for services offered by Backlinksshop.eu as mentioned in article 2.1.
b. Written acceptance of a written quotation issued by Backlinksshop.eu as mentioned in article 2.3.
3. Submission Requirements and Client Obligations
3.1. The client shall only place links in accordance with the quotation, offer, and these terms.
3.2. The client is not permitted to place links to websites that (may):
a. Contain harmful software or viruses;
b. Contain illegal music and/or films;
c. Are drug-related;
d. Are alcohol-related;
e. Contain unlawful statements that may be offensive, harmful, or discriminatory. Political and racist links are not permitted;
f. Infringe on rights of third parties, including intellectual property rights, or unlawfully use/misuse trademarks; and/or
g. Have a negative effect on third parties, including but not limited to links to negative reviews or news articles.
“Related” includes, but is not limited to, sale, promotion, or production.
3.3. Placing links with erotic content is only permitted on:
a. sexybegin.nl
b. sexybegin.be
c. 18plusbegin.com
d. mijnsexlinkjes.nl
3.4. If the client chooses the service “import link,” the standard template provided by Backlinksshop.eu must be used.
3.5. The client is responsible for filling out and submitting the standard template correctly.
3.6. Backlinksshop.eu is not responsible for incorrect completion of the template by the client.
3.7. Importing links is an automated process and will be executed based on the completed “links” tab. The tabs “notes” and “categories” are not included and cannot be used to provide instructions.
3.8. The client will use the services in accordance with the quotation, offer, and terms. The client may not use the services in violation of these terms, applicable laws, decency standards, or societal norms of care.
4. Rejection / Suspension / Removal
4.1. Backlinksshop.eu may at any time refuse, suspend, or remove services in the event of non-compliance with these terms, technical objections, content disapproval, nature or scope of content, matters of principle, or any other compelling reason at the discretion of Backlinksshop.eu.
4.2. Removal or suspension does not release the client from the obligation to pay for the agreed services.
4.3. Backlinksshop.eu is entitled—without prejudice to its right to compensation or performance—to suspend services for as long as the client’s breach continues, or to terminate the agreement entirely without being liable for any compensation if the client fails to comply.
5. Warranty / Indemnification
5.1. The client guarantees that all placed links and the content of the websites they refer to comply with the quotation, offer, terms, applicable laws, decency standards, and societal norms of care. Backlinksshop.eu has the right to refuse services that do not comply, and the client remains liable for payment.
5.2. The client guarantees that placed links do not contain viruses or similar harmful software.
5.3. The client guarantees that websites linked to comply with laws and regulations, including cookie usage.
5.4. The client indemnifies Backlinksshop.eu from all damages or claims by third parties arising from:
a. Use of the services by the client;
b. Acts or omissions by the client in violation of these terms.
The client shall compensate Backlinksshop.eu for all related costs (including legal fees).
5.5. Backlinksshop.eu provides no warranties on its services. Services are provided “as is.”
5.6. Backlinksshop.eu provides no warranties regarding the effectiveness of the services. Any SEO metrics are indicators only and no rights can be derived from them.
6. Delivery / Performance of Services
6.1. When ordering services, the client can immediately specify how the services should be used, including whether and when links are placed and for how long.
6.2. The order is completed after payment. Delivery occurs:
a. Within 5 days after receipt of payment by bank transfer;
b. Immediately when paid via the Mollie online payment system.
6.3. Backlinksshop.eu may suspend delivery if the client breaches any obligations. Costs resulting from such suspension may be charged to the client.
6.4. Once an order is being processed, the client cannot cancel it.
6.5. After completion, Backlinksshop.eu will send a delivery document to the email address provided by the client.
6.6. At Backlinksshop.eu, you enter into a subscription with terms of 1 year, 2 years, or 3 years. If you do not renew in time, your advertisements will be removed.
7. Rates and Payment
7.1. Listed rates are indicative, except for rates stated:
a. In quotations.
7.2. Backlinksshop.eu may revise its rates.
7.3. The client shall pay the applicable rates for the services in the specified manner. Payment is made in advance unless otherwise agreed. All rates include VAT and government levies.
7.4. Payment may be made via Mollie or bank transfer.
7.5. If paying by bank transfer, a €4.95 administration fee applies in addition to the applicable rate.
7.6. If payment by bank transfer is not received within 30 days, link placement will be suspended or canceled. The client is automatically in default after 30 days, without notice.
7.7. Invoices are sent digitally. The client must provide an email address for this purpose.
7.8. The client is not entitled to offset any amounts owed to Backlinksshop.eu.
All prices include 21% VAT and exclude other possible government levies. The payable amounts will be invoiced including VAT and levies.
8. Liability
8.1. Backlinksshop.eu performs its services with care. It is only liable for direct or indirect damage resulting from the services if caused by intent, gross negligence, or deliberate recklessness.
8.2. The client independently determines how they use the services. This may affect search engine visibility. The client shall not place third-party links unless authorized and indemnifies Backlinksshop.eu for damages due to search ranking drops or sanctions.
8.3. Search engines impose rules on link-exchange participation. Backlinksshop.eu is not liable for unauthorized link building. If the client uses the services contrary to third-party rules, Backlinksshop.eu is not liable and may recover damages.
8.4. Liability is limited to re-placement/re-delivery of services.
8.5. Backlinksshop.eu is never liable for damage resulting from transactions or agreements between the client and third parties.
9. Force Majeure
Backlinksshop.eu is not required to fulfill services if hindered by force majeure, including but not limited to failures by suppliers, unavailability of required hardware/software/internet, downtime, removal of third-party web pages, or any situation beyond its control. Backlinksshop.eu is not liable for any damage resulting from force majeure.
10. Duration
When purchasing services, the client selects the duration of the agreement and determines when links are placed online.
11. Intellectual Property Rights
11.1. Intellectual property rights on all services provided by Backlinksshop.eu remain with Backlinksshop.eu. A limited, non-exclusive, non-transferable right to use is granted during the service term.
11.2. Intellectual property rights on materials provided by the client remain with the client, who grants Backlinksshop.eu a limited right of use for service delivery.
11.3. The client indemnifies Backlinksshop.eu from all third-party claims relating to the use of provided materials.
12. Confidentiality
12.1. Both parties shall maintain confidentiality regarding confidential or sensitive business information during and after the duration of the services.
12.2. Disclosure requires prior written consent from the other party.
12.3. Confidentiality does not apply if:
a. Disclosure is required by law or government order;
b. The information is public at the time of disclosure;
c. The information was already in possession of the receiving party or developed independently;
d. The client violates laws, these terms, or acts unlawfully; information may then be disclosed to affected parties at the discretion of Backlinksshop.eu.
13. Other Provisions
13.1. Backlinksshop.eu may place cookies when the client creates an account. Information is available in the cookie statement on the website.
13.2. The content of the services and these terms jointly define the legal relationship between the parties.
13.3. Backlinksshop.eu may engage third parties at its own discretion.
13.4. The client may not transfer rights or obligations to third parties without written consent from Backlinksshop.eu.
13.5. If any provision is invalid under mandatory law, the remainder remains valid. Parties shall replace the invalid provision while preserving its intent.
13.6. No rights can be derived from typing or spelling errors.
14. Applicable Law / Competent Court
14.1. Dutch law exclusively applies to these terms and all services.
14.2. Disputes that cannot be settled amicably shall be submitted to the competent court.
